SpaceX warned investors about a new threat to AI — not chips and not electricity, but water
SpaceX has added a new warning to its IPO filing: access to water for cooling data centers has become as critical a resource for the company as energy and processors. This is stated in the updated version of the filing.
Let’s examine what exactly has changed in the document and why water has become a risk factor for AI infrastructure.
What exactly changed in the filing
Deep within the risk factors section, SpaceX added wording regarding water to the part addressing challenges in scaling AI infrastructure. Previously, SpaceX emphasized that its data centers were primarily constrained by access to energy at economically viable prices, as well as long construction timelines and material shortages.
The updated filing adds several lines regarding water access. SpaceX now informs potential investors that data center construction is limited by the availability of energy and water at economically viable prices.
Why water has become a critical factor
The company states that significant water resources may be required to cool large-scale data centers. Water availability has raised such concern that, according to SpaceX, it has become a critical factor in selecting sites, developing, and operating data centers.
SpaceX also notes that water shortages, arid conditions, competition for local water resources, or regulatory restrictions on water use could limit the company’s ability to obtain sufficient water for cooling, constrain data center cooling capacity, increase costs, delay or limit data center infrastructure expansion, or force the adoption of alternative cooling methods that may be more expensive or less accessible.
Other changes in the filing
The addition of details regarding water access was not the only change in the first updated filing. SpaceX also disclosed that it is reserving up to five percent of the shares offered in the IPO for employees and friends of executives.
Additionally, the company added wording warning investors that it may issue a significant number of shares in future transactions after the IPO. This hints at a possible merger with Tesla and could lead to dilution of existing shareholders’ stakes.
